Terms & Conditions

1 Acceptance

There is no requirement that a Client signs an acceptance of these Terms and Conditions for them to apply. Clients who accept a quote are deemed satisfied with the applicable terms and accept these Terms and Conditions.

Please carefully review these Terms and Conditions. Any purchase or use of our services constitutes acceptance of our Terms and Conditions.

2 Charges

Charges for services to be provided by Synexis Tech Solution Pvt. Ltd. are defined in the project quotation that the Client receives via email. Quotes are valid for 14 days. Synexis Tech Solution reserves the right to alter or decline to provide a quotation after the expiry of 14 days.

Unless otherwise agreed with the Client, all website design services require a minimum advance payment of 50% (fifty percent) of the project quotation total before the work is provided to the Client for review. The remaining 50% is due upon completion of the work — before uploading to the server or releasing materials such as login passwords.

Website design services of NPR 20,000 or less require a full payment of 100% of the project quotation total before the work commences.

Acceptable payment methods include: Electronic Bank Transfer, eSewa, Khalti, fonepay, or Connect IPS. Bank information will be included in all invoices.

3 Client Review

Synexis Tech Solution Pvt. Ltd. will provide the Client with an opportunity to review the website's appearance and content during the design phase and once the overall development has been completed.

These materials will be considered accepted and approved at the project's conclusion unless the Client notifies Synexis Tech Solution in writing within 10 (ten) days of the materials being made available to the Client.

4 Turnaround Time and Content Control

Synexis Tech Solution Pvt. Ltd. will install and publicly deliver the Client's website by the date specified in the project proposal — or by the date agreed with the Client — upon receiving the initial payment, unless the Client requests a delay and Synexis Tech Solution agrees in writing.

In exchange, the Client agrees to assign a single point of contact to assist Synexis Tech Solution in advancing the project in a satisfactory and timely manner.

Synexis Tech Solution will require the Client to provide all website content during the project, including text, images, videos, and other media files.

5 Failure to Provide Required Website Content

We must ensure that scheduled work is completed on time to maintain efficiency. To ensure your work is completed by the agreed date, we may occasionally have to decline other work and inquiries.

This is why we require all necessary information to be submitted in advance. We reserve the right to impose a 25% surcharge if we cannot make progress on your website due to your failure to provide us with the necessary information within the agreed time frame.

If your project involves SEO, we require the website's text content in advance to efficiently plan and implement the strategy.

Text content should be delivered as a Microsoft Word document, email, or similar format, with each section representing the content for a corresponding web page.

6 Payment

Synexis Tech Solution Pvt. Ltd. will issue invoices upon completion but before the website goes live. Invoices are typically sent via email; however, a Client may elect to receive physical invoices.

Invoices are due upon receipt. Accounts that remain unpaid 14 (fourteen) days after the invoice date will be assessed a service charge of 10% (ten percent) of the total amount due.

7 Additional Charges

The Client agrees to reimburse Synexis Tech Solution Pvt. Ltd. for any additional costs incurred in completing the project. Examples include the acquisition of unique fonts, stock photography, premium plugins, or third-party licenses required specifically for the project.

8 Web Browsers

Synexis Tech Solution Pvt. Ltd. makes every effort to design websites so that most visitors can view them. Websites are created to operate with the most popular browsers currently available (e.g., Google Chrome, Firefox, Safari, Microsoft Edge, etc.).

The Client acknowledges that Synexis Tech Solution cannot guarantee correct functionality across all browsers and operating systems.

Synexis Tech Solution cannot be held liable for web pages not rendering correctly in new browser versions released after the website has been designed and delivered to the Client. Synexis Tech Solution reserves the right to provide a separate quotation for any work required to ensure compatibility with updated browser software.

9 Default

Accounts unpaid 14 (fourteen) days after the invoice date will be considered in default. If the Client defaults and maintains any data or files on Synexis Tech Solution's servers or hosting space, Synexis Tech Solution may, at its discretion, remove all such content without further notice.

Synexis Tech Solution is not responsible for any data loss caused by the discontinuation of service due to non-payment. The Client's obligation to pay all outstanding fees remains unaffected by the removal of content.

Clients with delinquent accounts agree to pay Synexis Tech Solution's reasonable expenses, including legal and third-party collection agency fees, incurred in enforcing these Terms and Conditions.

10 Termination

The Client's request to terminate services must be made in writing and will take effect upon receipt of such a written request. Verbal or informal requests to terminate (via phone call or SMS) will not be honored unless confirmed in writing.

The Client will be billed for all design work completed up to the date of the cancellation notice, payable in full within 14 (fourteen) days.

11 Indemnity

Synexis Tech Solution Pvt. Ltd.'s services may be used for lawful purposes only. You agree to indemnify and hold Synexis Tech Solution Pvt. Ltd. harmless from any claims, losses, damages, or expenses resulting from your use of our services that damage you or any other party.

12 Copyright & Licensing

The Client retains ownership of all data, files, text, and logos provided by the Client but grants Synexis Tech Solution Pvt. Ltd. permission to publish and use such content for the purposes of the project.

The Client must obtain permission and rights to use any third-party copy-protected information or files. The Client is also responsible for granting Synexis Tech Solution permission and rights to use the same, and agrees to indemnify and hold Synexis Tech Solution harmless from any claims resulting from the Client's negligence or inability to obtain the necessary copyright permissions.

Any design, code, or creative work produced by Synexis Tech Solution specifically for the Client is licensed for one-time use only for the agreed project. It may not be modified, reused, resold, or redistributed without Synexis Tech Solution's prior written consent.

Synexis Tech Solution owns all licenses for used plugins, artwork, and design templates unless explicitly transferred in writing. Synexis Tech Solution reserves the right to charge up to 50% more than the template or artwork's original cost for transfer of such licenses to the Client.

Synexis Tech Solution owns the intellectual property rights to its proprietary software code (excluding open-source software). Once all invoices have been paid in full, code may be transferred for an additional fee — on the condition that it is only used or modified for further development for the specified Client or subsequent owners of that legal entity. Under no circumstances may the code be resold or duplicated.

13 Plugins

Websites utilizing Content Management Systems (such as WordPress) rely on third-party Plugins to accommodate specific client requirements. At the time of development, Synexis Tech Solution selects these Plugins based on their availability and the Client's budget.

Plugins are developed and maintained by parties outside of Synexis Tech Solution's control. Periodically, some Plugins may become obsolete or unsupported, requiring replacement to keep the Client's website current, functional, and secure. Synexis Tech Solution is not responsible for any losses that may result from Plugin obsolescence.

The Client is responsible for covering the costs associated with replacing faulty Plugins and restoring the website. Synexis Tech Solution will collaborate with the Client to resolve such issues as quickly as possible.

14 Standard Media Delivery

Unless otherwise specified in the project quotation, this Agreement assumes that the Client will provide all text in electronic format (via email, Google Drive, Dropbox, or similar), and all photographs and graphics in .jpg, .png, .gif, .webp, or .tiff format.

Although Synexis Tech Solution will make reasonable efforts to return any images or printed materials provided by the Client, Synexis Tech Solution cannot guarantee the safe return of such materials.

15 Design Credit

A small credit link to Synexis Tech Solution Pvt. Ltd. may appear at the bottom of the Client's website. If the Client requests that the design credit be removed, Synexis Tech Solution can accommodate this request.

The Client also agrees that the website developed for the Client may be presented in Synexis Tech Solution's portfolio and used for promotional purposes.

16 Access Requirements

If the Client's website is to be installed on a third-party server, Synexis Tech Solution requires temporary FTP/SFTP or cPanel access to the Client's storage directories. Depending on the nature of the project, it may be necessary to configure additional server resources, which the Client agrees to provide upon request.

17 Post-Placement Alterations

Once installed and delivered, Synexis Tech Solution Pvt. Ltd. cannot be held responsible for any changes made to the Client's website by the Client or any third party. Such alterations include additions, modifications, and deletions. Any resulting fixes or repairs will be quoted separately.

18 Development Variations

Feedback and revisions are included as per the agreed project scope. Feedback may include author's corrections, minor styling adjustments, refinements to type sizes, colors, and comments on transitions.

Any 'major' changes — such as significant structural layout changes that deviate substantially from the agreed designs — will be identified, quoted, and approved before development proceeds.

Work requested outside the original agreed scope, or changes requested after the site has been fully signed off, will be quoted separately or charged at an ad-hoc hourly rate. This does not include fixes to bugs or technical errors.

19 Development Ownership of Copyright

Websites designed and developed by Synexis Tech Solution Pvt. Ltd. are backed by years of web design and code development expertise.

Synexis Tech Solution retains ownership of all customized theme designs, features, plugins, solutions, and technologies developed to meet unique and specific Client requirements not satisfied by widely available standard or open-source solutions.

The Client may use these for the purpose intended (single website / single-use license) so long as hosting remains with Synexis Tech Solution for at least two (2) years after the website goes live.

If the Client decides to take full control of the website and host elsewhere, they must sign a Non-Disclosure Agreement (NDA) and pay a transfer fee to Synexis Tech Solution. Before handover, Synexis Tech Solution may also remove proprietary customizations, plugins, and custom code as necessary. Any remaining premium plugins must be licensed and purchased by the Client independently.

20 Project Delays and Client Liability

The proposed timeline is contingent upon the Client's full cooperation and receipt of complete and final website designs or content. Questions or feedback may be required during the development process. The Client must designate and make available a single point of contact to expedite the feedback process.

Incomplete content or content requiring modification during the development phase can also cause project delays. If the above conditions are not met, Synexis Tech Solution cannot be held to the agreed delivery date.

If the Client delays website development by more than 10 (ten) business days or halts it indefinitely, Synexis Tech Solution will bill for the proper completion of work to date. Additional fees may be incurred to resume the project at a later date.

21 Confidentiality

Both parties agree, at all times during their cooperation period and thereafter, to never disclose to any person or entity any confidential information related to either party's business, affairs, operations, or clientele, without prior written consent from the affected party.

Furthermore, both parties agree to take reasonable precautions to ensure such information is not made available to third parties. Confidential information includes, but is not limited to: customer details, accounting documentation, agreements, policies, pricing, marketing strategies, and statistics.

22 Transactions with Third-Party Platforms

Unless otherwise specified and agreed in writing, third-party subscriptions and payments — including Google Ads, Facebook Ads, LinkedIn Ads, Google Workspace, Microsoft 365, and any other third-party marketing or SaaS platforms — are payable directly by the Client.

It is the Client's responsibility to settle these payments on time to ensure uninterrupted operation. Synexis Tech Solution Pvt. Ltd. cannot be held responsible for any losses resulting from unpaid balances between the Client and third-party platforms.

23 Refund Policy

Any exceptions to this policy must be agreed upon explicitly in writing prior to commencement of work.

24 Warranty Period

Any work performed by Synexis Tech Solution Pvt. Ltd. comes with a one (1) month warranty period.

Any bugs or technical errors discovered after the final staging site has been handed over to the Client (e.g., for content populating) will be fixed at no additional cost within this period. Minor adjustments to the website may also be made free of charge during this time, at Synexis Tech Solution's discretion.

After one month, Synexis Tech Solution will be happy to discuss an ongoing maintenance agreement tailored to the Client's needs.

25 Domain Names

Synexis Tech Solution Pvt. Ltd. may purchase domain names on behalf of the Client. Payment and renewal of those domain names is the sole responsibility of the Client.

The loss, cancellation, or expiry of a domain name caused by non-payment or late payment is not the responsibility of Synexis Tech Solution. The Client should keep a record of due dates for domain renewals to ensure payment is received in good time.

26 General

These Terms and Conditions supersede any prior representations, agreements, or understandings between the Client and Synexis Tech Solution Pvt. Ltd.

Acceptance of these Terms and Conditions is evidenced by the Client's advance payment, written approval, or by submitting a project inquiry and proceeding with the engagement. By paying online or via bank transfer, you accept our Terms and Conditions in full.

27 Governing Law

This Agreement shall be governed by and construed in accordance with the Laws of Nepal, including the Electronic Transactions Act, 2063, the Individual Privacy Act, 2075, and the Contract Act, 2056. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Lalitpur / Kathmandu, Nepal.

28 Liability

Synexis Tech Solution Pvt. Ltd. hereby excludes itself, its employees, and agents from all and any liability arising from:

• Any loss or damage caused by an error or omission;
• Loss or damage resulting from delay or error in the website's production, whether due to negligence or any other cause;
• Loss or damage to Client-supplied artwork, photographs, or any other materials;
• Any interruption, loss of data, or business loss resulting from third-party service failures (hosting, DNS, CDN, payment gateways, etc.);
• Any loss arising from the Client's failure to maintain backups or update software.

The entire liability of Synexis Tech Solution to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the services under this Agreement in respect of which the breach has arisen.
